Acceptance of Terms

By creating an account or using any Coreaxis services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any other applicable agreements and policies.

The Coreaxis website, mobile applications, APIs, and related services

"Services"

Investment advisory, brokerage, portfolio management, and related financial services

"Account"

Your personal investment account with Coreaxis

"Content"

Text, graphics, images, software, and other materials on our platform

Eligibility Requirements

To use Coreaxis services, you must:

• Be at least 18 years of age
• Have legal capacity to enter into binding contracts
• Be a resident of a country where our services are available
• Provide accurate and complete information during registration
• Not be prohibited from receiving our services under applicable laws
• Have a valid Social Security Number or Tax Identification Number (U.S. residents)

Account Registration and Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Promptly notifying us of any unauthorized access or security breach
• Providing accurate, current, and complete information
• Updating your information to keep it accurate and complete

We reserve the right to suspend or terminate accounts that provide false information or are used for fraudulent purposes.

Investment Services

3.1 Brokerage Services

Coreaxis provides self-directed brokerage services through our registered broker-dealer affiliate. We are not a bank and investments are not FDIC insured.

3.2 Advisory Services

Our automated investment advisory services provide portfolio recommendations based on your financial profile. These are non-discretionary services—you maintain control over investment decisions.

3.3 SIPC Protection

Securities in your account are protected up to $500,000 (including $250,000 for claims for cash). Explanatory brochure available at www.sipc.org.

3.4 No Investment Guarantee

We do not guarantee investment performance or returns. All investments involve risk, including loss of principal.

Fees and Charges

Our current fee schedule includes:

• $0 commission on online equity trades
• $0 account minimums
• $0 monthly platform fees for basic accounts
• Premium services may have additional fees as disclosed
• Third-party fund expense ratios apply as disclosed

We reserve the right to change our fee structure with 30 days' advance notice. Current fees are always available on our website.

User Responsibilities and Prohibited Activities

You agree not to:

• Use the platform for illegal purposes or fraudulent activities
• Attempt to gain unauthorized access to any part of the platform
• Interfere with or disrupt the platform's security or functionality
• Use automated systems (bots, scrapers) to access the platform
• Provide false or misleading information
• Violate any applicable laws or regulations
• Engage in market manipulation or insider trading
• Use the platform for money laundering or terrorist financing

Intellectual Property Rights

All content, features, and functionality on the Coreaxis platform are owned by us or our licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the platform for personal, non-commercial purposes.

Termination

We may suspend or terminate your account and access to services:

• For violation of these Terms
• For fraudulent or illegal activity
• To comply with legal requirements
• For security reasons
• For inactivity exceeding 24 months

You may close your account at any time by contacting customer service. Outstanding fees and obligations remain payable upon termination.

Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the platform will be uninterrupted, secure, or error-free, or that any defects will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COREAXIS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, or consequential damages
• Loss of profits, data, or investment opportunities
• Investment losses or poor performance
• Events beyond our reasonable control

Our total liability shall not exceed the fees paid by you to us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Coreaxis, its affiliates, officers, directors, and employees from any claims, damages, losses, or expenses arising from:

• Your use of the platform
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your investment decisions and activities

Dispute Resolution

12.1 Arbitration Agreement

Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

12.2 Class Action Waiver

You waive any right to participate in class actions or class arbitrations. Claims must be brought individually.

12.3 Governing Law

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles.

Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our platform
• Sending email notification to registered users
• Displaying prominent notices on the platform

Your continued use after changes constitutes acceptance of the modified Terms.

Miscellaneous Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Coreaxis
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• Assignment: You may not assign your rights; we may assign our rights
• Force Majeure: We are not liable for delays caused by events beyond our control
